1. Scope and Acceptance

These terms apply to business-to-business enquiries, quotations, samples, orders, and related services supplied by Caffeine Buzz India. An order becomes binding only when we issue written confirmation or accept the buyer’s purchase order in writing.

2. Quotations and Product Specifications

Quotations are prepared for the named buyer and remain valid for the period shown on the quotation. Product origin, crop, grade, variety, processing method, roast profile, packaging, labelling, and other specifications must be recorded in the accepted quotation, proforma invoice, or specification sheet.

3. Minimum Order Quantities

Unless a written quotation states otherwise, the standard commercial minimum is 100 kg for coffee and green cardamom, and 1 kg for Kashmiri saffron. Sample quantities, availability, and charges are confirmed separately.

4. Prices, Taxes, and Currency

Prices are stated in the currency and on the delivery basis shown in the quotation. Taxes, customs duties, inspection costs, banking charges, freight, insurance, and destination fees are excluded unless expressly included in writing.

5. Samples and Approvals

Samples are supplied for evaluation and may differ slightly from a later shipment because agricultural products naturally vary by crop and lot. Private-label artwork, roast profiles, packaging proofs, and pre-production samples require written buyer approval before production.

6. Payment

Payment method, deposit, balance due date, and bank details are specified in the commercial quotation or proforma invoice. Production or procurement may begin only after the required advance payment and approvals are received.

7. Lead Times and Delivery

Lead times are estimates measured from receipt of cleared payment, final specifications, and artwork approval where applicable. Delivery dates may change due to crop availability, carrier schedules, customs clearance, regulatory checks, or events outside reasonable control. We communicate material changes promptly.

8. Shipping, Risk, and Title

The shipment method, delivery point, freight responsibility, insurance, and transfer of risk are governed by the accepted quotation and any Incoterm expressly stated there. Ownership remains with Caffeine Buzz India until all amounts due for the goods are paid, to the extent permitted by applicable law.

9. Export Documentation and Compliance

Documentation is prepared according to the confirmed product, destination, and shipment. It may include commercial invoices, packing lists, certificates of origin, phytosanitary or health documents, and applicable Coffee Board of India, FSSAI, IEC/DGFT, GMP, HACCP, ISO 22000, or Halal records. The buyer must provide accurate importer details and destination requirements before confirmation.

10. Inspection, Quality, and Claims

The buyer must inspect the shipment promptly on arrival. Visible damage or shortage should be recorded with the carrier and reported to us with photographs, delivery documents, batch details, and quantities. Product-quality concerns must be raised within the inspection period stated in the accepted quotation so that the lot can be assessed fairly.

11. Packaging, Private Label, and Intellectual Property

Buyer-supplied trademarks, artwork, and claims remain the buyer’s responsibility. The buyer confirms that it has permission to use them and that they comply with destination rules. Caffeine Buzz names, logos, product photography, specifications, and website content may not be copied or used without written permission.

12. Changes, Cancellations, and Returns

Changes or cancellations require written agreement. Custom-roasted, private-label, made-to-order, or export-prepared goods may not be cancellable or returnable after production or procurement begins. Any approved return must follow written instructions and remain traceable to the supplied lot.

13. Force Majeure

Neither party is liable for delay caused by events beyond reasonable control, including severe weather, crop disruption, port or carrier interruption, government action, labour disruption, or failure of essential services. The affected party will provide notice and use reasonable efforts to reduce the impact.

14. Limitation of Liability

To the extent permitted by law, liability relating to an order is limited to the value of the affected goods. Neither party is liable for indirect or consequential loss unless such limitation is prohibited by applicable law.

15. Governing Terms and Disputes

The governing law, jurisdiction, and any arbitration arrangement stated in the accepted quotation or supply agreement apply. The parties should first attempt to resolve a dispute through good-faith commercial discussion.

16. Updates and Contact

We may update these terms as our services or legal requirements change. The version effective when an order is accepted applies to that order unless the parties agree otherwise in writing.
